1. Introduction

These Terms and Conditions (“Terms”) govern your use of our website (www.officefurniturefabricators.com), the purchase of our products, and any services provided by Office Furniture Fabricators (“we,” “us,” or “our”), a South African company based in Edenvale. By accessing our website, placing an order, or engaging our services, you agree to be bound by these Terms, which comply with South African laws, including the Consumer Protection Act 68 of 2008 (“CPA”) and the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”). If you do not agree with these Terms, please refrain from using our website or services.

We reserve the right to update these Terms at any time, with changes effective upon posting on our website. It is your responsibility to review these Terms periodically. Continued use of our website or services after updates constitutes acceptance of the revised Terms.

2. Use of Website

2.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into agreements to use our website or place orders. By using our website, you confirm that you meet these requirements.
2.2 Permitted Use: You may use our website to browse products, place orders, or contact us. You agree not to misuse the website, including but not limited to hacking, distributing malware, or engaging in unlawful activities.
2.3 Intellectual Property: All content on our website, including images, product descriptions, logos, and designs, is owned by Office Furniture Fabricators or our licensors and is protected by South African copyright and trademark laws. 3. Orders and Payments

3.1 Order Placement: Orders placed through our website, email, or in-person constitute an offer to purchase. We reserve the right to accept or decline orders at our discretion, including due to stock availability or pricing errors. You will be notified via email if an order is declined.
3.2 Pricing: All prices are in South African Rand (ZAR) and exclude Value Added Tax (VAT) unless otherwise stated. Prices are subject to change without notice, but the price confirmed at the time of order acceptance will apply. Prices exclude delivery, installation, and any additional services unless explicitly included in the quote.
3.3 Payment Terms: Full payment or a deposit (as specified in the quote) is required before production or delivery begins. Accepted payment methods include bank transfer, credit/debit card, or other methods agreed upon. For custom orders, a 50% deposit is typically required, with the balance due before delivery. Non-payment may result in order cancellation or delayed delivery.
3.4 Custom Orders: Custom-made furniture (e.g., specific finishes or dimensions) is non-returnable unless defective, as per Section 17 of the CPA. Details of custom orders must be confirmed in writing before production begins.

4. Delivery and Installation

4.1 Delivery: Delivery times are estimates and subject to stock availability, production schedules, and logistical factors. We will communicate estimated delivery dates upon order confirmation. Delays due to unforeseen circumstances (e.g., supply chain issues, strikes) do not entitle you to cancel the order or claim damages unless the delay exceeds 30 days, per CPA regulations.
4.2 Delivery Costs: Delivery costs are quoted separately and depend on the location, order size, and access requirements. You are responsible for ensuring safe and accessible delivery conditions at the site (e.g., clear pathways, adequate space).
4.3 Installation: Where installation is included, our team will perform services with reasonable care and skill. You must provide a safe, hazard-free site and disclose any structural or environmental issues (e.g., weak flooring, electrical faults) before installation. We are not liable for damages or injuries arising from site conditions or your failure to prepare the site, as outlined in our Installation Liability Waiver (available upon request).
4.4 Risk and Ownership: Risk of loss or damage to products passes to you upon delivery. Ownership transfers upon full payment. You must inspect products upon delivery and report any damage or discrepancies within 48 hours.

5. Returns and Refunds

5.1 Standard Returns: Per Section 20 of the CPA, you may return non-custom, non-defective products within 7 days of delivery for a refund or exchange, provided they are unused, in original packaging, and in resalable condition. You are responsible for return shipping costs unless the return is due to our error.
5.2 Defective Products: If a product is defective or does not conform to the agreed specifications, you may return it within 6 months of delivery for repair, replacement, or refund, as per Section 56 of the CPA. Notify us within 7 days of discovering the defect, and we will arrange inspection and resolution.
5.3 Custom Products: Custom-made products are non-returnable unless defective or not as specified in the written agreement. Refunds for defective custom products are subject to inspection and may be limited to repair or replacement.
5.4 Refund Process: Approved refunds will be processed within 14 days of product return, via the original payment method. Delivery and installation costs are non-refundable unless the return is due to our error.

6. Warranties and Guarantees

6.1 Product Warranty: Our products are warranted against manufacturing defects for 12 months from delivery, subject to normal use and maintenance. The warranty covers repair or replacement at our discretion and excludes damage from misuse, neglect, or unauthorized modifications.
6.2 Implied Warranties: Per Section 55 of the CPA, products are warranted to be of good quality, durable, and fit for purpose. This warranty applies unless you were informed of specific limitations (e.g., clearance items sold “as is”).
6.3 Exclusions: Warranties do not cover normal wear and tear, cosmetic imperfections inherent to materials (e.g., natural wood grain), or damage caused by improper use, storage, or environmental factors (e.g., water damage, excessive heat).

7. Limitation of Liability

To the extent permitted by law, Office Furniture Fabricators, its owners, employees, and agents shall not be liable for any indirect, consequential, or incidental damages arising from the use of our products, services, or website, including but not limited to loss of profits, business interruption, or data loss. Our liability for direct damages is limited to the purchase price of the product or service in question. Nothing in these Terms excludes liability for gross negligence or willful misconduct, as required by South African law.

8. Privacy and Data Protection

We collect and process personal information in accordance with the Protection of Personal Information Act 4 of 2013 (“POPIA”). Our Privacy Policy, available on our website, details how we handle your data, including for order processing, marketing, and customer support. By using our website or services, you consent to such processing. You may request access to or correction of your data by contacting us at info@officefurniturefabricators.com.

9. Intellectual Property

All designs, product specifications, and content on our website are the intellectual property of Office Furniture Fabricators or our licensors. You may not copy, reproduce, or use our designs or content for commercial purposes without written permission. Unauthorized use may result in legal action under South African copyright and trademark laws.

10. Dispute Resolution

In the event of a dispute, we encourage resolution through good-faith negotiation. If unresolved, disputes may be referred to mediation or arbitration in Edenvale, as agreed by both parties, in accordance with the Arbitration Foundation of Southern Africa rules. You may also lodge complaints with the National Consumer Commission, as per the CPA. These Terms are governed by South African law, and any legal proceedings shall be conducted in a court of competent jurisdiction in Edenvale.

11. Force Majeure

We shall not be liable for delays or failure to perform obligations due to events beyond our reasonable control, including but not limited to strikes, natural disasters, supply chain disruptions, or government restrictions. We will notify you of such events and work to minimize delays.

12. General Provisions

12.1 Entire Agreement: These Terms, along with any order confirmation or quote, constitute the entire agreement between you and Office Furniture Fabricators, superseding any prior agreements.
12.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
